Terms of Service

These terms govern your use of our website at ideazone.co and Zeplicity, our booking and scheduling platform for practitioners. By creating an account or using either, you agree to these terms.

1. Who this agreement is between

This agreement is between you and IdeaZone. Zeplicity is a trading name (a registered DBA) of IdeaZone, not a separate company, so references to "IdeaZone", "we", "us" or "our" in these terms include the Zeplicity product.

Our full legal entity name is IDEAZONE Operations LLC, a limited liability company formed in the State of Texas, United States, whose registered office is 1401 Art Dilly Drive, Unit 269, Austin, TX 78702, United States, filing number 806665376 with the Texas Secretary of State.

2. The service

Zeplicity is a booking and scheduling platform. It lets practitioners, such as coaches, therapists and consultants, publish availability, take client bookings, manage their calendar, and keep records relating to those bookings and clients. Our website at ideazone.codescribes IdeaZone's wider services and provides information about Zeplicity.

3. Accounts and eligibility

You must provide accurate information when creating an account, keep your login details secure, and tell us promptly if you believe your account has been accessed without your permission. You must be old enough, and have the authority, to enter into this agreement, whether for yourself or on behalf of a business.

4. Acceptable use

You agree not to use the service to:

  • break the law, or infringe someone else's rights;
  • send spam, or contact people who have not agreed to be contacted;
  • upload malicious code, or attempt to disrupt, overload or gain unauthorised access to our systems;
  • reverse engineer, scrape or resell the service without our written permission; or
  • collect or store personal data you are not lawfully entitled to hold.

We may suspend or terminate an account that we reasonably believe breaches this section, to protect the service and other users.

5. Your data, and your clients' data

This distinction matters, and it works the same way in our Privacy Policy. When you store information about your own clients in Zeplicity, such as their names, contact details, booking history, session notes, consent records or assessment responses, you are the data controller for that information, and IdeaZone acts only as your data processor. That means:

  • you are responsible for having a lawful basis to collect and hold your clients' data, and for meeting your own obligations to them as a practitioner and as a data controller;
  • we process your clients' data only to provide the service to you, and as you instruct through your use of the product;
  • we will not use your clients' data for our own separate purposes, such as marketing; and
  • if a client of yours contacts us about their data, we will generally direct them back to you, since you control that data.

You are responsible for your own account data being accurate, and for the content you enter into Zeplicity, including making sure you have the right to collect and store it.

6. Fees and payment

Fees for any paid plan are as described to you at signup or in your order form. Payments are processed by Stripe; we do not store your full card details ourselves. Unless stated otherwise, fees already paid are non-refundable. We may change our pricing for future billing periods, and will give you reasonable notice before a change takes effect.

7. Third-party services we rely on

We rely on third-party providers to run the service, including Vercel (hosting), Supabase (database and file storage), Stripe (payments), Resend (email delivery), Upstash (rate limiting), and, only if you choose to connect a calendar, Google or Microsoft. Our Privacy Policy describes what each of these does with data. We are not responsible for outages or issues caused by a third-party provider that are outside our reasonable control, though we will work to restore service as quickly as we reasonably can.

8. Availability and support

We aim to keep the service available and reliable, but as with any hosted software we do not guarantee uninterrupted or error-free access. We may need to carry out maintenance from time to time. We provide support by email and aim to respond within a reasonable time, but do not commit to a specific response time or service level unless we have separately agreed one with you in writing.

9. Intellectual property

IdeaZone owns the Zeplicity platform, our website, and all associated software, design and branding. We grant you a limited, non-exclusive, non-transferable right to use the service for your own business while your account is active. You keep ownership of the content you upload, such as your client records, and grant us only the rights needed to store and process it in order to provide the service to you.

10. Limitation of liability

Nothing in these terms limits or excludes any liability that cannot lawfully be limited or excluded, such as liability for death or personal injury caused by negligence, or for fraud. Subject to that, to the fullest extent permitted by law, IdeaZone is not liable for any indirect, incidental or consequential loss, or for loss of profits, revenue, data or business opportunity, arising from your use of the service. Our total liability to you for any claim arising from these terms or the service is limited to the amount you paid us for the service in the twelve months before the claim arose.

11. Termination

You may stop using the service and close your account at any time. We may suspend or terminate your account if you materially breach these terms and do not fix the breach after we ask you to, or where we reasonably need to do so to protect the service, other users, or comply with the law. On termination, your right to use the service ends, and we will handle any data you held with us in line with our Privacy Policy, including the retention periods described there.

12. Changes to these terms

We may update these terms from time to time, for example as our product, vendors or legal obligations change. We will update the "Last updated" date at the top of this page when we do, and for material changes we will take reasonable steps to let you know directly. Continuing to use the service after a change takes effect means you accept the updated terms.

13. Governing law

These terms are governed by, and interpreted in accordance with, the laws of the State of Texas, United States, without regard to its conflict-of-laws rules, and any dispute arising from them is subject to the exclusive jurisdiction of the state and federal courts located in Travis County, Texas.

This does not take away rights you have where you live. If you are a consumer, and the mandatory consumer-protection law of your own country gives you a protection or a right to bring a claim locally that this clause would otherwise remove, that law wins. Our handling of personal data is governed separately by our Privacy Policy, which applies UK GDPR to users in the United Kingdom regardless of this clause.
